Patrick Martin Exclusive believes clients should know exactly what we are, what we are not and how we describe our products. These disclosures supplement our Terms of Use and Risk Disclosure.
1. Regulatory Status
Patrick Martin Exclusive is a software and technology business based in Texas. It is not registered as an investment adviser with the U.S. Securities and Exchange Commission or the Texas State Securities Board; is not a broker-dealer or a member of FINRA or SIPC; and is not registered with the Commodity Futures Trading Commission or the National Futures Association as a commodity trading advisor, commodity pool operator or in any other capacity. Patrick Martin Exclusive is not a bank, a trust company or a fiduciary to any client.
2. Software-Only Model and No Custody
- Patrick Martin Exclusive licenses software. We do not manage money, operate a fund or pool, or accept money for investment.
- The Software runs in a brokerage account that the client opens, owns and controls with a third-party broker, using API keys the client creates and may revoke at any time.
- We never take custody of client funds or securities, never request withdrawal, transfer or banking permissions and never exercise discretion over a client's account.
- The client chooses the configuration and risk limits, decides whether and when the Software runs, and can stop it at any time.
- License fees are flat software fees. They are never based on assets, account value, trading profits or performance.
3. Impersonal Information Only
Information on this Site and in our communications is general, educational and impersonal. It describes how our Software works. It is not tailored to any person, does not consider any person's financial circumstances and is not a recommendation to buy, sell or hold any security or to adopt any strategy. Nothing here is an offer to sell, or a solicitation of an offer to buy, any security.
4. No Performance Claims
- We do not advertise, guarantee or project returns, win rates or income, and we do not describe any product as "risk-free," "guaranteed" or "passive income."
- The Software is developed and evaluated in a supervised paper-trading (simulated) environment. Any figures we share in a quote or demonstration are simulated unless expressly stated otherwise, and will be accompanied by an explanation of their limitations.
- Numbers on the Site (for example, the number of technical setups or risk checks) describe how the Software is built, not how it has performed or will perform.
- Illustrations, sample journal lines and example symbols on the Site are fictional and for explanation only.
5. Artificial Intelligence Disclosure
We aim to describe our use of AI precisely and without exaggeration:
- Trading Software. Trade candidates are generated by deterministic, rule-based technical setups. A third-party commercial large-language model then reviews candidates and may propose or decline them. The model receives only market data (such as prices, indicator values, spreads and cleaned headlines). It does not receive account numbers, balances or credentials. It cannot place, size or modify orders, and every proposal must pass the Software's rule-based risk controls. The model does not learn from or train on your account.
- Business Agents. Agents use third-party AI models to read, organise and draft content within permissions the client approves. They can make mistakes, and their work should be reviewed.
- What our AI is not. It is not a forecasting system, it does not "know" where the market is going, and it is not a substitute for professional advice.
6. Market-Integrity Commitment
The Software is designed to submit only whole-share limit bracket orders that it intends to have executed. It is not designed to, and must never be used to, engage in spoofing, layering, wash trading, matched trades, marking the close, momentum ignition, front-running or any other manipulative or deceptive practice prohibited by the Securities Exchange Act of 1934, SEC and FINRA rules, or the Texas Securities Act. Licensees agree not to modify or use the Software for any such purpose, and Patrick Martin Exclusive will terminate any license used that way.
7. Compensation and Conflicts of Interest
Patrick Martin Exclusive is compensated only by the fees clients pay for our software and services. We do not currently receive referral fees, payment for order flow, commissions or other compensation from any broker, market-data provider or AI provider. If that ever changes, we will disclose it before you enter into an agreement. Patrick Martin Exclusive and its owners may trade securities for their own accounts, including securities the Software may trade.
8. Testimonials and Endorsements
The Site does not currently feature client testimonials or paid endorsements. If we publish them in the future, they will reflect honest opinions of real clients, will disclose any material connection or compensation, and will comply with the Federal Trade Commission's Guides Concerning the Use of Endorsements and Testimonials in Advertising (16 C.F.R. Part 255) and its rule on consumer reviews and testimonials (16 C.F.R. Part 465).
9. Forward-Looking Statements
Statements about planned features, future capabilities, timelines or our business plans are forward-looking. They reflect current intentions, are not promises, and may change without notice.
10. Sales Tax
Texas generally treats many data processing and software-as-a-service charges as taxable. Patrick Martin Exclusive will collect and remit Texas sales and use tax, and the tax of other states, wherever required, and will show applicable taxes on quotes and invoices.
11. Business Services
Business management agents and custom applications are technology tools. They do not provide legal, tax, accounting, payroll, human-resources, medical or investment advice, and they do not make Patrick Martin Exclusive your accountant, attorney or employer of record. Clients are responsible for their own regulatory compliance, for reviewing AI-generated work and for decisions made using these tools.
12. Trademarks and Affiliations
"Patrick Martin Exclusive" and the PM monogram are trademarks of Patrick Martin Exclusive. Alpaca and other third-party names are trademarks of their respective owners and are used only to describe compatibility. Patrick Martin Exclusive is not affiliated with, sponsored by or endorsed by Alpaca, any broker, any exchange or any AI provider.
13. Questions
